Amendments to [Section 3.04(c)]. [Section 3.04(c)] is hereby amended as follows:

Amendments to [Section 3.11]. Paragraphs [(b) through (d) of Section 3.11] of the Agreement are hereby amended and restated in their entirety to read as follows:

[Section 3.4] (Procedures for Borrowing). [Section 3.4] of the Existing Loan Agreement is hereby amended by deleting clause (b) thereof and replacing it with the following:

[Section 3.4] would be applicable to such Advance;

[Section 3.2] of the Note Purchase Agreement is hereby amended by deleting the words “at the offices of Metropolitan Life Insurance Company, 10 Park Avenue, Morristown, New Jersey 07962-1902, Attention: Law Department” and inserting the following in lieu thereof:

[Section 3.10(a)] of the Existing Credit Agreement is hereby amended to delete the following sentence:

[Section 3.3(b)] is deleted and replaced in its entirety with the following:

[Section 3.5]. Article III of the Exchange Agreement is hereby amended to add the following as a new [Section 3.5]:

[Section 3.5] of the License Agreement is hereby deleted and replaced in its entirety with the following:
